01Agreement & scope of services

These terms govern services supplied by NetSyc Technologies ("NetSyc", "we" or "us") to the customer ("you" or "client"). Please review them before approving a quotation or authorizing work. Project payment obligations arise from your acceptance of the applicable proposal or agreement; browsing this website or requesting a quotation alone does not create a payment obligation.

The accepted proposal, statement of work or service agreement defines the deliverables, fees, advance, milestones and schedule. Preliminary estimates are non-binding and valid for 30 calendar days unless stated otherwise. Any project-specific terms expressly agreed in writing take precedence over conflicting provisions on this page. Written approval may be given by an authorized representative by email or a signed document.

02Mandatory advance & project commencement

The agreed advance payment is mandatory and is due before, or at, project commencement as specified in the accepted proposal or invoice. Its amount or percentage must be agreed in writing; these terms do not create an unspecified advance.

A project starts when, following your written authorization and acceptance of its scope and fees, NetSyc begins substantive work such as discovery, planning, design, development or procurement. If NetSyc starts authorized work before receiving the advance, this does not waive or defer your payment obligation.

Once the project has started, the agreed advance remains payable even if you subsequently cancel, close, pause or discontinue the project. Any unpaid portion of the advance must still be settled by its due date. The advance is credited toward the project price and is not an additional cancellation fee. Cancellation settlements and any legally required refunds are addressed in section 5.

03Invoices, due dates & payment confirmation

Advance, milestone and final payments must be received by the due dates stated in the accepted payment schedule or invoice. If no date is specified, the parties must confirm it in writing before a payment is treated as overdue. A payment extension is valid only when NetSyc confirms it in writing.

Pay using the approved bank details or payment link on your invoice. Payment is confirmed when funds are received and verified; a screenshot or transaction reference alone is not confirmation. Taxes, approved third-party costs and any customer-payable gateway charges will be disclosed separately before payment.

If an invoice appears incorrect, notify us promptly with the invoice number and reasons. We will review the disputed amount and confirm any correction; undisputed amounts remain payable on time. Duplicate payments and verified overpayments will be reconciled and any refundable balance returned through an agreed payment method.

04Overdue payments: 3% charge every 3 days

If a requested or milestone payment remains unsettled after its agreed due date and time, an overdue charge of 3% of that original requested amount applies immediately after the deadline, followed by another 3% every 72 hours until that request is fully settled, subject to applicable law. The base is the requested milestone amount, not the whole project value. Gateway fees and earlier overdue charges are excluded from the base. Partial payments do not change the original base; charges do not compound.

For example, an unpaid ₹10,000 milestone attracts ₹300 immediately after the deadline, a further ₹300 at 72 hours after the deadline and another ₹300 at 144 hours. Full settlement includes outstanding principal and assessed charges, less recorded waivers. Only verified payments settle the request. For manual transfers, NetSyc checks the actual bank receipt time and amount so an administrative verification delay does not create charges after full payment was received.

Due dates and times are shown in India Standard Time (IST). An email reminder is scheduled 24 hours before the deadline, and overdue notices show the amount due. Delivery depends on the mail service and the accuracy of your registered email address; the agreed deadline remains binding if an email is delayed or not received. The client portal displays payment requests, recorded payments, deadlines and charge history.

The recurring policy must be disclosed and accepted in writing before the request is issued. It is not applied retrospectively to an existing invoice or earlier deadline. Charges, corrections and waivers are itemised in the billing record. Recovery remains limited to reasonable compensation permitted by applicable law and may be reduced where required. After written notice of non-payment, NetSyc may pause further work or withhold pending deliverables until overdue sums are resolved, with resulting schedule changes communicated in writing.

05Cancellation, closure & refunds

Send cancellation or closure requests in writing, identifying the project and requested stop date. NetSyc will confirm receipt and provide an itemized settlement of the agreed advance, work completed and approved non-cancellable third-party commitments. Payments already received are credited against that settlement; the same work or commitment will not be charged twice.

A client-initiated cancellation after commencement does not remove the advance obligation in section 2. Refund requests will be assessed against the agreed scope, services performed, reasonable documented commitments and applicable law. Cancellation does not automatically make the entire remaining project price payable; any further amount must be supported by the agreement and the settlement.

Before commencement, cancellation will be handled under the accepted proposal and any agreed, documented commitments. If NetSyc cannot perform the agreed work or materially breaches the agreement, the advance clause does not remove your right to an appropriate refund or other remedy required by law.

06Client responsibilities, changes & delivery

You must provide accurate requirements, authorized access, content, approvals and feedback needed to complete the project. You are responsible for having the rights to supplied material and for providing a suitable backup before authorized changes to existing systems.

New features, additional revisions and changes beyond the accepted scope require written agreement on fees and timing before implementation. Client delays, changes or third-party dependencies may affect delivery dates; NetSyc will communicate the impact and agree a revised schedule where necessary.

Deliverables will be reviewed against the agreed acceptance criteria. Report reproducible issues during the agreed review period. Handover and final acceptance follow the project agreement; silence alone is not treated as approval under these general terms.

07Intellectual property & handover

Unless the project agreement states otherwise, ownership of bespoke deliverables created for you transfers after full settlement of the relevant project invoices. The agreement defines the source code, files, documentation and credentials included in handover.

NetSyc retains its pre-existing tools, reusable libraries and general know-how. Where these are incorporated into a paid deliverable, you receive the rights needed to use that deliverable for its agreed purpose, subject to any disclosed licence terms. Third-party and open-source components remain subject to their own licences. Your existing materials remain yours.

08Warranty, maintenance & third-party services

Unless otherwise agreed in writing, NetSyc provides a 30-day defect-correction period from deployment for reproducible defects in its delivered code that depart from the agreed scope. Report issues with enough detail for investigation.

New features, client or third-party modifications, and failures of external services are outside this defect-correction scope. Hosting, renewals, ongoing maintenance and continuous support are not included unless expressly listed in the project agreement. Third-party services are subject to their providers' terms and availability; NetSyc remains responsible for its own agreed obligations.

09Confidentiality, privacy & acceptable use

Both parties must protect non-public project, business and access information and use it only to perform the agreement, except where disclosure is authorized or legally required. Personal information is handled as described in our Privacy Policy and any applicable project data-processing agreement.

Do not use our services for unlawful activity, infringement, malware, unauthorized access or interference with systems. Security testing requires prior written authorization. Keep account credentials secure and report suspected misuse promptly so access can be investigated and protected.

10Responsibility & events beyond control

Each party is responsible for its own contractual obligations. Business outcomes such as revenue, search rankings or uninterrupted third-party availability are not guaranteed unless expressly agreed. Any limitation of liability must be stated in the applicable project agreement and remains subject to law; nothing here excludes liability or consumer rights that cannot lawfully be excluded.

If an event reasonably beyond a party's control prevents performance, that party must notify the other, take reasonable steps to reduce the impact and discuss a revised schedule. Such an event does not automatically cancel amounts already due for services performed. Any extended suspension or termination must be addressed in writing.

11Disputes, applicable law & changes

Raise any concern with NetSyc in writing, including the project or invoice reference and the resolution requested. We will review it and seek a good-faith resolution. These terms are governed by the laws of India. Disputes may be brought before a court or other forum with jurisdiction under applicable law; statutory consumer remedies remain available.

This version is dated 9 October 2026. Updated terms apply to new engagements when communicated and accepted. Existing project terms and invoices are not changed retrospectively without mutual written agreement. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
